This Affiliate Program Terms of Service Agreement ("Agreement") is entered into between Melanin Media Incorporated ("Company") and the affiliate ("Affiliate") who joins the Company's affiliate program for the promotion and sale of the "Ultimate Beginners Makeup Course" ("Course").

1. Enrollment in the Affiliate Program:

1.1 By enrolling in the Company's affiliate program, Affiliate agrees to abide by all terms and conditions set forth in this Agreement.

1.2 Affiliate shall apply for enrollment in the Company's affiliate program through the designated online platform. Company reserves the right to accept or reject any application at its sole discretion.

2. Affiliate Responsibilities:

2.1 Affiliate shall promote the Course using only ethical and legal means.

2.2 Affiliate shall not engage in any deceptive, misleading, or unethical marketing practices in promoting the Course.

2.3 Affiliate shall be solely responsible for all content, materials, and representations used in promoting the Course.

2.4 Affiliate shall not make any claims or representations regarding the Course that are not expressly approved by Company.

3. Compensation:

3.1 Affiliate shall be compensated a commission of up to 30% for each sale of the Course made through their unique affiliate link.

3.2 Commissions shall be paid out to Affiliate on a monthly basis, subject to a minimum payout threshold determined by Company.

3.3 Company reserves the right to adjust the commission rate or payout structure at any time, with or without prior notice to Affiliate.

4. Intellectual Property:

4.1 Affiliate acknowledges that all intellectual property rights related to the Course, including but not limited to copyrights, trademarks, and trade secrets, are owned by Company.

4.2 Affiliate shall not use the Company's trademarks, logos, or copyrighted materials without prior written consent from Company.

5. Liability and Indemnification:

5.1 Affiliate agrees to indemnify, defend, and hold harmless Company and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Affiliate's promotion or sale of the Course.

5.2 In no event shall Company be liable to Affiliate or any third party for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement or Affiliate's participation in the affiliate program.

6. Termination:

6.1 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

6.2 Upon termination, Affiliate shall immediately cease all promotion and marketing activities related to the Course.

7. Governing Law and Dispute Resolution:

7.1 This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflicts of law principles.

7.2 Any dispute arising out of or related to this Agreement shall be resolved through arbitration in Toronto, Canada in accordance with the rules of the American Arbitration Association.

8. Digital Confirmation:

By clicking the "SIGN UP HERE" button, Affiliate confirms their agreement to the terms and conditions of the UBMC Affiliate Program Terms of Service Agreement.
